除非您已充分阅读并接受本协议全部内容,否则您无权注册、登录或继续使用 Chaino 平台及相关服务。您点击“同意”、注册、登录、使用 Chaino,或以其他明示或默示方式接受本协议的,均视为您已阅读并同意本协议。
如您未满 18 周岁或未满您所在地法律要求可独立使用平台服务的年龄,请不要使用 Chaino 平台;如适用法律允许您在监护人同意下使用,则应在监护人陪同、指导和同意下使用相关服务。
欢迎使用 Chaino。本协议是您与 Chaino 运营者之间,就您访问、下载、安装、注册、登录和使用 Chaino 网站、客户端应用程序、移动网页及相关产品和服务所订立的协议。本协议适用于 Chaino 当前及未来向您提供的各项功能与服务。
一、定义及协议范围
1.1 定义。本协议所称“平台”系指 Chaino 及其不时提供的其他产品形态;“平台服务”系指内容浏览、内容发布、商品与服务交易、直播以及包括但不限于收藏、评论、分享、转发、搜索查询、平台活动等功能和服务,具体以 Chaino 实际提供为准,我们有权对相关功能进行增加、调整、限制、关停或其他变更。“账号”系指您在使用 Chaino 时可能需要注册的用户账号,原则上可通过手机号码或平台允许的其他方式注册。
1.2 不良信息。本协议所称不良信息,包括但不限于违反法律法规和公序良俗、危害国家安全、宣扬恐怖主义或极端主义、煽动民族仇恨、宣扬邪教迷信、传播淫秽赌博吸毒暴力恐怖内容、侮辱诽谤他人、侵害未成年人合法权益、散布虚假信息、突破法律法规和信息真实性底线,以及其他法律法规禁止发布、传播或储存的内容。
1.3 协议范围。本协议除正文外,还包括《隐私政策》、未成年人保护规则、社区公约、社区规范、直播规则、帮助文档、通知公告及其他经合理方式向您展示或后续发布、更新的各类规则、规范和说明文件。上述文件均为本协议不可分割的组成部分,与本协议具有同等法律效力。
1.4 适用说明。本协议适用于 Chaino 中国境内版本及在中国境内注册、使用 Chaino 服务的用户。如 Chaino 未来针对其他国家或地区提供单独版本、单独服务条款或单独规则,则该等版本及规则可在适用范围内优先适用。如您位于特定国家或地区,部分功能可能因法律法规、监管政策、支付能力、身份认证或其他客观原因暂不可用,我们会持续根据实际情况进行调整。
二、账号管理
2.1 账号获得。您可按照页面提示填写信息、阅读并同意本协议,完成注册登录程序后获得 Chaino 账号。根据法律法规或具体业务要求,您可能还需要填写真实身份信息,否则可能无法使用全部平台服务或在使用过程中受到限制。您有义务保持向我们提供信息的真实性、有效性、准确性和完整性。
2.2 登录方式与一键登录。Chaino 可根据产品能力向您提供手机号验证码登录、密码登录、一键登录、第三方账号登录或其他登录方式。其中,一键登录功能系为了向您提供更便捷的账号登录能力而设置,通常需要基于我们与通信运营商或相关服务商的合作完成;您理解并同意,在使用一键登录时,应同时遵守页面提示、运营商规则、第三方登录规则及平台相关说明。若因网络环境、运营商服务、设备能力、地区限制、身份验证要求或其他客观原因,一键登录或特定登录方式暂时不可用,不影响我们向您提供其他可用登录方式。
2.3 账号安全。您注册获得的账号、设置的密码、验证码及其他登录凭证,是您登录并以用户身份使用 Chaino 的凭证,您应谨慎使用、妥善保管,并对账号项下发生的全部活动和行为承担责任。因您保管不善导致的盗号、密码遗失、账号被非法使用等后果,由您自行承担。
2.4 禁止恶意注册与冒用。您不得恶意注册 Chaino 账号,包括但不限于频繁注册、批量注册、使用他人身份注册、以获取补贴或活动奖励为目的注册,或者实施其他不以正常使用平台为目的的账号注册行为。您在注册或使用平台时设置的昵称、头像、简介等资料,应遵守法律法规、社会道德风尚和信息真实性原则,不得出现不良信息,不得冒用他人姓名、名称、字号、头像或采取其他足以引起混淆的方式设置账号,不得侵害第三方合法权益。
2.5 账号使用及权属。您的账号关联您的个人信息及平台商业信息,原则上仅限您本人使用。未经 Chaino 明确同意,授权第三方使用您的账号或获取您账号项下信息的行为无效。部分第三方网站、应用或服务可能支持以 Chaino 账号登录,但除非我们特别说明,该等服务并非由 Chaino 运营,您应自行判断其安全性、可用性并承担相关风险。若我们判断您的账号使用可能违反法律法规、本协议、社区规则,或者危及账号安全、平台信息安全或交易秩序,我们有权拒绝提供相应服务,并采取包括但不限于限制功能、封禁、注销、收回账号或终止提供全部或部分服务等措施,由此带来的内容清空、虚拟物品清空、权益消失等损失由您自行承担。
2.6 账号注销及回收。您可以依照产品流程申请注销 Chaino 账号,但仍应对注销前和使用平台期间的行为承担相应责任。注销成功后,除法律法规另有规定外,我们通常不会提供账号记录、内容、订单状态或虚拟财产恢复服务,请您谨慎操作。为充分利用账号资源,如您注册后长期未进行初次登录或长期未登录且不存在未履行完毕的持续性平台服务,我们有权回收账号;账号被回收后,您将无法继续通过原账号登录使用,账号下保存的内容、权限、个性化设置和使用记录也可能无法恢复。
2.7 账号违规处置。若您在注册或使用账号时存在违反法律法规或不符合本协议约定的行为,Chaino 有权拒绝注册;已注册的,我们有权视情况要求限期改正,或采取短期封禁、长期封禁、注销账号、限制功能、收回账号等措施。
三、平台服务
3.1 内容浏览。您可通过 Chaino 浏览、订阅、搜索各类信息和内容。您应对平台中的内容自行加以判断,并自行承担因依赖、使用、跟随、购买或基于相关内容进行决策而引起的风险。在适用法律允许的最大范围内,基于该等内容进行的支付、交易、互动以及由此造成的损害或损失,应由您自行承担。
3.2 内容发布。在遵守本协议的前提下,您可发布属于您原创或您有权发布的观点、文字、图片、音视频、评论、链接及其他内容。您在平台发布的任何内容均不代表 Chaino 的观点、立场或政策,相关责任由您自行承担。您不得利用平台制作、复制、发布、传播、储存任何违法违规、危害国家安全、侵害他人权益、可能危及用户财产安全或信息安全、营销作弊、低俗不当、不良信息、不实信息或其他不应发布的内容。
3.3 AI 生成内容发布。对于在 Chaino 内发布、传播的人工智能生成合成内容,包括但不限于文本、图片、音视频等,我们有权基于法律法规要求添加人工智能生成标识,包括交互界面的显式标识及文件元数据中的隐式标识。您不得删除、篡改、伪造或隐匿相关标识。您应依法对利用深度学习、虚拟现实、生成式人工智能等技术制作的非真实信息作出显著标识,不得将合成内容谎称为真实或自然内容。若您未依法履行标识义务,我们有权对相关内容和账号采取增加标识、限制传播、封禁账号等措施;因此造成的不良后果或对他人合法权益的损害,由您自行承担责任。
3.4 商品与服务交易。您可通过 Chaino 进行商品与服务交易;如您是未成年人或限制民事行为能力人,请在监护人同意后进行交易。交易时请仔细确认商品名称、价格、数量、型号、规格、尺寸、服务时间、服务内容及限制条件,并在下单时核对联系地址、联系电话、收货人等信息。若您填写的收货人并非您本人,相关法律后果仍由您承担。您的交易行为应基于真实消费需求,不得实施恶意购买、恶意退款、恶意维权、倒卖套利或其他扰乱平台交易秩序的行为。为维护交易秩序、交易安全和平台合法权益,若发现异常交易、规则漏洞套利、补贴套取、虚假订单或其他异常情形,我们有权主动关闭相关订单、冻结权益、取消补贴或采取其他必要措施。本协议终止后,对在协议存续期间产生但尚未完成的交易订单,我们有权自主决定或依据交易相对方意愿决定是否关闭;如未关闭,您仍应继续履行交易订单项下义务并承担相应责任。
3.5 内容分享与转发。您可对平台内容进行分享、转发,但未经 Chaino 书面许可,不得复制、读取、抓取、统计、出售、商业展示平台内容及相关数据,不得向第三方泄露、提供或允许第三方以任何方式使用。
3.6 活动参与。您可参与 Chaino 不定期组织的线上、线下互动活动,但不得采取任何不正当或作弊手段参与活动。否则,我们有权限制或取消您的参与资格,取消、追回已获得或领取的奖励,并保留追究您法律责任的权利。
3.7 直播。若您未满 18 周岁或不满足直播功能的其他条件,您无法使用直播功能。满足开通条件的,您可通过平台开展网络直播活动,并应遵守 Chaino 另行发布的直播服务协议、直播规范、社区规则及相关要求。
3.8 广告与推广。您理解并同意,Chaino 有权在为您提供服务过程中,自行或授权第三方通过平台页面、信息流、搜索结果、消息中心、活动页或其他位置推送、展示或投放商业广告、商业合作信息及其他推广信息。请您审慎识别并判断前述信息的真实性、合法性与可靠性。除法律法规明确规定外,您因信赖相关信息而进行的交易、互动或遭受的损失,应由您自行承担;我们会依法向您提供消费者权益保护所需的必要协助。
3.9 服务费用。除平台明示的收费业务外,Chaino 基础服务通常免费。如未来新增收费项目、会员服务、功能订阅或收费标准调整,我们将以合理方式并在合理期限内提前通知您,保障您充分选择的权利。在收费服务降价或改为免费时,我们保留不对既往付费用户进行退费或差价调整的权利。
四、权利与许可
4.1 平台知识产权。平台提供和包含的内容,包括但不限于视频、音频、音乐、图文、文字表述、软件、源代码、界面设计、版面框架、图标、商标、标识、域名、网站名称、账号名称及其他品牌元素,除用户依法享有权利的内容外,均由 Chaino 所有或经合法授权使用,受著作权法、商标法、专利法、反不正当竞争法及其他适用法律保护。未经 Chaino 书面许可,您不得为任何目的擅自使用、复制、再造、反向工程、申请注册、商业化利用或创造相关派生作品,也不得使用与 Chaino 品牌、商标、服务标记、商号、域名、社交账号或其他品牌标识相同、近似或足以造成混淆的标识。我们保留本协议未明确授予您的全部权利。
4.2 平台使用规范。未经明确许可,您不得对平台或平台服务进行反向工程、反向汇编、反向编译,不得盗链、冗余盗取、非法抓取、模拟下载、深度链接、假冒注册,不得通过未获开发、授权或许可的第三方软件、插件、外挂、系统登录或使用平台,不得干扰、破坏、修改平台正常运行,不得实施危害网络安全、窃取数据、传播恶意程序、利用系统漏洞、违规获取平台服务、虚拟物品、活动奖励或其他收益等行为,也不得以其他任何不合法、不正当或与平台规则不一致的方式使用平台服务。
4.3 用户内容授权。您在平台发布、上传的内容应有合法来源,并为您所有或您已取得必要授权。除非有相反证明,为使用户内容得到更好的展示、传播、推广、存储、同步、备份、维权和运营,您授予 Chaino 免费的、不可撤销的、非排他的、全球范围内的许可使用权,包括但不限于存储、使用、传播、复制、修订、改编、汇编、出版、展示、翻译、表演、制作派生作品、纳入其他作品、再许可第三方使用,以及以自身名义或委托第三方对侵犯您上传内容知识产权的行为进行取证、投诉或诉讼。为免歧义,该等许可包括对用户内容中包含的个人形象、肖像、姓名、商标、品牌、标识及其他营销推广素材进行使用、复制和展示的权利。
4.4 侵权投诉。我们尊重并保护您及他人的知识产权、名誉权、姓名权、隐私权等合法权益。您保证在平台上传的文字、图片、视频、音频、链接等内容不侵犯任何第三方合法权益。若您认为平台上的内容侵犯您的合法权益,您可按照平台公示的投诉指引提交权利通知。我们将在收到有效通知后依法审核并采取必要措施;对无法初步认定侵权的内容,我们也将向您反馈处理情况。除法律另有规定外,Chaino 服务器中存储的数据可作为您使用平台及平台服务的重要证据。
五、法律责任
5.1 违约处理。如您违反本协议、社区规则或其他平台规则,Chaino 有权独立判断并立即采取包括但不限于禁言、屏蔽信息、删除内容、限制功能、封禁账号、注销账号,以及冻结、清零、追回异常或无效资产、收益、奖励等措施。与该等措施相关的损失和后果,包括账号内容、虚拟财产、会员权益、活动奖励、订单资格和使用权限清空,由您自行承担。
5.2 赔偿责任。您承担法律责任的形式包括但不限于赔偿损失、赔礼道歉、消除影响、返还财产、恢复原状等。如您的行为给 Chaino 或第三方造成损失,您应承担全部赔偿责任,包括直接损失、商誉损失、和解款、行政罚款、维权成本、律师费、诉讼费及其他合理费用。
5.3 反商业贿赂。任何向 Chaino 员工、顾问、合作人员提供实物、现金、现金等价物、劳务、旅游或其他明显超出正常商务往来范围利益的行为,均可能被视为商业贿赂。发生该等情形时,我们有权立即终止与您的全部合作并依法追究责任。
5.4 关联处理与信息公示。若您违约导致 Chaino 终止向您提供全部或部分服务,为维护平台秩序,我们有权同步终止您在其他协议项下的全部或部分合作;反之,如您违反与 Chaino 订立的其他协议,我们亦有权终止本协议项下全部或部分服务。前述终止不影响我们继续追究您的违约责任。我们还可将对您违约行为的处置信息,以及其他经国家行政或司法机关生效法律文书确认的违法信息,在平台上进行必要公示;对涉嫌违法违规的行为,我们有义务保存记录、向有关机关报告并配合调查。
六、责任限制、免责事由和赔偿
6.1 区域责任规则。由于不同国家或地区的法律规定存在差异,本协议中的责任限制、免责和赔偿条款可能因您所在地区而适用不同规则。若您位于欧洲经济区、英国或瑞士等地区,我们将在已尽专业勤勉义务的前提下,按照当地适用法律承担相应责任;如因我们违反协议造成且在订约时可合理预见的损失,我们将依法承担责任,但本协议不意图排除或限制对死亡、人身伤害、欺诈、欺诈性虚假陈述或法律明确不得排除的责任。若您对访问限制、暂停或终止决定有异议,可通过本协议载明的联系方式向我们提出申诉,我们将在适用法律要求范围内复核处理。
6.2 中国境内责任限制。若您位于中国境内,除适用法律另有明确规定外,在任何情况下,我们均不对任何间接性、后果性、惩罚性、偶然性、特殊性或类似性质的损害承担责任,该等损害包括但不限于利润损失、机会损失、数据损失、商誉损失或业务中断。除法律另有明确规定外,我们对您承担的全部责任,无论基于何种原因或法律依据,通常不超过您在使用 Chaino 平台或平台服务期间向我们实际支付的费用总额(如有)。
6.3 其他国家或地区责任限制。若您位于前述地区以外,除适用法律另有明确规定外,Chaino 平台及服务按“现状”“可用”状态提供,相关使用风险由您自行承担。在法律允许的最大范围内,我们不对平台服务作任何明示或默示保证,包括适销性、特定用途适用性和不侵权保证;我们不保证平台服务能够满足您的要求,也不保证平台运行不间断、无错误、无漏洞。除法律不得排除的责任外,Chaino 及其关联方、董事、高级职员、员工、代理人、服务提供商和许可方,不对因本协议、平台或平台服务引起的任何间接、附带、结果性、特殊、惩罚性或类似损害承担责任。尽管如此,本协议任何内容均不排除或限制因我们的重大过失、故意不当行为或法律明确不得排除的责任。
6.4 第三方服务与平台责任。对用户自行发布、传播、存储的内容,以及第三方网站、应用、服务、插件、支付、物流、SDK、链接或资源所产生的后果,应由内容提供方或相应第三方承担责任。您在使用平台特定服务时,除遵守本协议外,还应遵守相应专项协议、服务规则或第三方协议;因第三方产品或服务产生的争议、损失或损害,原则上由您与该第三方依据相关约定解决。我们仅按照适用法律法规规定承担平台责任,不对任何第三方的诽谤、犯罪或其他非法行为承担责任,也不赔偿因此造成的您的损失。
6.5 服务变更、中断、终止与转让。为持续改进服务,我们可能对平台进行更新,您应将软件更新至最新版本,否则我们不保证您可正常使用平台。我们还可能根据商业决策、政府行为、不可抗力、合规整改、安全治理或其他必要原因中止、中断、修改或终止部分或全部服务,并会在合理范围内尽可能提前通知您;除法律法规另有规定外,我们不对由此造成的损失承担责任。发生合并、分立、收购、资产转让等情形时,我们可将本协议项下部分或全部服务及相应权利义务交由第三方运营或履行,具体受让主体以通知为准。若您提供虚假信息、违反法律法规或本协议、存在安全风险,或收到主管机关要求,我们有权不经另行通知中断或终止向您提供服务。
6.6 用户赔偿义务。对于因您使用 Chaino 平台及服务,或您违反本协议而导致或引起的任何第三方主张、索赔、调查、诉讼、程序或争议,您同意为 Chaino 及其关联方进行抗辩,并赔偿因此产生的损害、责任、评估、损失、成本及其他费用,包括合理的律师费和法律费用。我们将尽合理努力及时通知您相关争议并提供合理协助,但通知瑕疵不当然免除您在本协议项下的赔偿义务,除非您因未及时获知通知而受到重大损害。
七、协议变更与终止
7.1 协议变更。我们有权根据法律法规变化、监管要求、业务调整、产品升级、运营需要或风险控制需要,对本协议内容进行修订,并通过公告、弹窗、系统消息、站内信、短信、电子邮件或其他合理方式在合理期限内提前通知您。您可以通过平台相关页面查阅最新版本的协议内容。
7.2 变更生效。本协议变更生效后,如您继续使用 Chaino 平台或平台服务,即视为您已接受修改后的协议内容;如您不同意修改后的协议,应立即停止使用相关服务。
7.3 协议终止。您主动申请注销账号,或 Chaino 依据本协议、平台规则或法律法规决定注销您账号的,双方在本协议项下的权利义务终止,但您仍应对注销前使用平台服务的行为承担相应责任。
八、法律适用与管辖
8.1 非美国用户。如您位于美国以外地区,本协议签订地为中华人民共和国上海市黄浦区。本协议的订立、生效、履行、解释、修订、终止及争议解决,适用中华人民共和国法律。若您与 Chaino 之间发生争议,双方应优先协商解决;协商不成的,任一方可向本协议签订地有管辖权的人民法院提起诉讼。
8.2 美国用户。如您位于美国,本协议的形成、可执行性、修改、终止及相关争议,在适用范围内受您所居住州法律以及本协议约定的仲裁条款约束。美国地区用户的仲裁、集体诉讼弃权、批量仲裁和陪审团审判弃权等条款,适用本协议下述第九条约定。
九、美国地区仲裁条款
9.1 适用范围。本条仅适用于位于美国境内的个人用户。如您位于美国,请注意本协议包含具有约束力的仲裁条款、集体诉讼和陪审团审判弃权,以及针对 25 个或以上类似仲裁请求的批量仲裁规则。该等条款将影响您与 Chaino 之间争议的解决方式。
9.2 选择仲裁与例外。在适用条件下,您与 Chaino 同意以最终且具有约束力的仲裁作为解决争议的主要方式,但法律允许的小额索赔、仅寻求禁令救济、公共禁令救济或其他法律明确允许的例外情形除外。仲裁条款涵盖与您访问、使用、购买、广告展示、推广信息、双方互动通信以及本协议有关的广泛争议,并尽可能按照最广义可执行范围解释。
9.3 退出仲裁。如您位于美国,您可在以电子方式接受本协议后 45 天内,按照我们指定的通知方式发送书面退出通知,选择退出仲裁条款。退出通知应明确表示拒绝仲裁,并包含姓名、地址、电子邮件、电话号码及签名等必要信息。仅退出仲裁条款而不退出集体诉讼弃权,或仅退出集体诉讼弃权而不退出仲裁条款的效力,以适用法律和本协议约定为准。
9.4 强制性非正式争议解决。在启动仲裁或在小额索赔法院起诉前,双方同意先通过书面通知、电话或视频会议等方式进行诚信、非正式争议解决,并在约定期限内至少进行一次个人化沟通。争议通知应载明姓名、地址、邮箱、用户名、相关交易信息、争议简述及拟请求的解决方案等必要信息;若通知内容不完整,可能导致通知无效,需重新提交。非正式争议解决通常应在通知发出后六十日内尽力完成;该前置程序的有效性、可执行性及是否满足启动仲裁条件,在适用范围内可由有管辖权的法院判断。
9.5 仲裁程序。仲裁可由协议指定或适用规则允许的仲裁机构管理,原则上由独任仲裁员处理,除非为保障基本公平程序确有必要,否则听证通常在线上进行。仲裁程序应依据适用仲裁规则开展;如相关规则与本协议仲裁条款冲突,在法律允许范围内以本协议约定为准。仲裁员有权决定证据交换、保密措施及程序管理事项,仲裁相关文件交换通常限于与争议直接相关、合理且非保密特权文件。
9.6 仲裁费用、裁决和上诉。仲裁费用、申请费、听证费用及费用分担,按照适用仲裁规则及本协议约定执行;在符合适用条件时,我们可能为金额较低争议报销申请费或承担必要仲裁费用,以避免仲裁成本显著高于诉讼成本。仲裁裁决通常具有终局性和约束力,并可在有管辖权的法院申请执行。若适用规则允许,双方可在规定期限内对裁决提起上诉,由多名仲裁员组成的小组重新审议。
9.7 批量仲裁。若 25 名或以上申请人提出类似仲裁请求,且由相同或协调行动的律师代理,则相关请求可按批次进行管理。每批次可由一名独任仲裁员处理,不同批次之间的裁决通常不当然构成先例。双方应与管理机构诚信合作,尽量降低批量仲裁成本;任何关于批量仲裁条款适用性、有效性或可执行性的争议,可由法院判断。
9.8 禁止集体诉讼与集团仲裁。除适用法律明确允许外,任何仲裁或诉讼不得以集体、代表或集团方式进行,包括不得由个人以私人律师身份代表他人提出仲裁。除非各方书面同意,仲裁中的任何一方不得合并代表两个或两个以上无关联个人或实体提出索赔。任何关于禁止集体诉讼、集团仲裁条款有效性的争议,可由法院判断。
9.9 存续、可分割性与诉讼权利放弃。本仲裁条款在协议终止后继续有效。除批量仲裁条款和禁止集体诉讼条款等法律另有要求的部分外,若仲裁条款的某一部分被认定无效或不可执行,其余部分仍可继续生效。在适用法律允许范围内,您与 Chaino 同意放弃陪审团审判权,并理解通过接受本协议,双方可能放弃在法院由法官或陪审团审理部分争议的权利。
十、其他与联系我们
10.1 可分割性与不放弃。本协议标题仅为阅读方便,不影响条款解释。本协议部分条款如因任何原因被认定无效或不可执行,不影响其他条款的效力。任何一方未行使或迟延行使本协议项下权利,不构成对该权利的放弃;任何放弃均应以书面形式作出并由放弃方签署。
10.2 联系方式。如您对本协议有任何意见、建议或疑问,可通过 Chaino 产品内客服、意见反馈入口,或发送邮件至 xuxy_james@163.com 与我们联系,我们会在合理期限内给予必要帮助和回复。

Unless you have fully read and accepted all of these Terms, you may not register for, log in to, or continue using the Chaino platform and related services. By clicking "Agree," registering, logging in, using Chaino, or otherwise expressly or impliedly accepting these Terms, you are deemed to have read and agreed to them.
If you are under 18 years old, or under the age at which the laws of your jurisdiction allow you to use platform services independently, please do not use the Chaino platform. Welcome to Chaino. These Terms are an agreement between you and the operator of Chaino regarding your access to, download of, installation of, registration for, login to, and use of the Chaino website, client applications, mobile web pages, and related products and services. These Terms apply to all current and future functions and services provided through Chaino.
I. Definitions and Scope of the Agreement
1.1 Definitions. In these Terms, the "platform" refers to Chaino and any other product forms we may provide from time to time. "Platform services" refers to content browsing, content publishing, transactions in goods and services, live streaming, and functions and services including but not limited to saving, commenting, sharing, reposting, searching, and platform activities. The actual services are subject to what Chaino makes available, and we reserve the right to add, adjust, restrict, suspend, terminate, or otherwise change related functions. "Account" refers to a user account that may be required for you to use Chaino, which in principle may be registered through a mobile number or another method permitted by the platform.
1.2 Prohibited or harmful information. "Prohibited or harmful information" under these Terms includes, without limitation, content that violates laws, regulations, or public order and morals; endangers national security; promotes terrorism or extremism; incites ethnic hatred; propagates cults or superstition; spreads obscene, gambling-related, drug-related, violent, or terrorist content; insults or defames others; infringes the lawful rights and interests of minors; disseminates false information; breaches legal and regulatory requirements concerning truthfulness of information; or otherwise consists of content prohibited from being published, disseminated, or stored by law.
1.3 Scope of the Agreement. In addition to the main body of these Terms, this Agreement also includes the Privacy Policy, rules for the protection of minors, the community convention, community standards, live-stream rules, help documents, notices and announcements, and other rules, standards, and explanatory documents reasonably presented to you or subsequently released or updated. All such documents form an inseparable part of these Terms and have the same legal effect.
1.4 Applicability. These Terms apply to the China version of Chaino and to users who register for and use Chaino services within mainland China. If Chaino later provides separate versions, separate service terms, or separate rules for other countries or regions, those versions and rules may prevail within their applicable scope. If you are located in a particular country or region, some functions may be unavailable due to laws, regulations, regulatory policies, payment capability, identity verification requirements, or other objective reasons, and we will continue to adjust based on actual circumstances.
II. Account Management
2.1 Obtaining an account. You may obtain an Chaino account by following page prompts, filling in information, reading and accepting these Terms, and completing the registration and login process. Depending on laws, regulations, or specific business requirements, you may also need to provide real identity information, otherwise you may be unable to use all platform services or may be restricted during use. You are obligated to ensure that the information you provide to us is truthful, valid, accurate, and complete.
2.2 Login methods and one-tap login. Depending on product capability, Chaino may provide login by mobile verification code, password login, one-tap login, third-party account login, or other login methods. One-tap login is provided to offer a more convenient login experience and usually depends on our cooperation with telecommunications carriers or related service providers. You understand and agree that when using one-tap login, you must also comply with the page prompts, carrier rules, third-party login rules, and platform explanations. If one-tap login or a specific login method is temporarily unavailable because of network environment, carrier service, device capability, regional restrictions, identity verification requirements, or other objective reasons, this does not affect our provision of other available login methods.
2.3 Account security. Your registered account, password, verification codes, and other login credentials are the credentials by which you log in and use Chaino as a user. You shall use and keep them carefully and are responsible for all activities and conduct under your account. Consequences such as account theft, password loss, or unauthorized use arising from your failure to keep them properly shall be borne by you.
2.4 Prohibition on malicious registration and impersonation. You may not maliciously register Chaino accounts, including frequent registration, bulk registration, registration using another person's identity, registration for the purpose of obtaining subsidies or activity rewards, or any other registration behavior not aimed at normal use of the platform. The nickname, avatar, profile, and other account materials you set during registration or use must comply with laws, regulations, social morals, and the principle of authenticity of information. They may not contain prohibited information, impersonate another person’s name, business name, style name, avatar, or use other confusing means, and may not infringe any third party's lawful rights and interests.
2.5 Account use and ownership. Your account is associated with your personal information and the platform's commercial information and, in principle, may only be used by you. Without Chaino's explicit consent, any authorization for a third party to use your account or obtain information under your account is invalid. Some third-party websites, apps, or services may support login through an Chaino account, but unless we expressly state otherwise, those services are not operated by Chaino, and you should independently assess their security and availability and bear the related risks. If we determine that your use of the account may violate laws, regulations, these Terms, community rules, or endanger account security, platform information security, or transaction order, we have the right to refuse to provide corresponding services and adopt measures including but not limited to function restrictions, blocking, account closure, account recovery, or termination of all or part of the services. Any resulting losses such as content removal, virtual item clearance, or loss of rights and interests shall be borne by you.
2.6 Account closure and recovery. You may apply to close your Chaino account according to the product process, but you remain responsible for your conduct before closure and during use of the platform. After closure is completed, except as otherwise required by law, we generally will not provide restoration of account records, content, order status, or virtual assets, so please act prudently. To make full use of account resources, if you do not complete your first login for a long period after registration, or if you do not log in for a long period and there is no continuing platform service that remains to be performed, we may recover the account. After recovery, you will no longer be able to log in with the original account, and the content, permissions, personalized settings, and usage records stored under that account may no longer be recoverable.
2.7 Measures for account violations. If your registration or use of an account violates laws, regulations, or these Terms, Chaino has the right to refuse registration, or, for registered accounts, require rectification within a time limit or take measures such as short-term blocking, long-term blocking, account closure, function restrictions, or account recovery, depending on the circumstances.
III. Platform Services
3.1 Content browsing. You may use Chaino to browse, subscribe to, and search for various information and content. You should make your own judgment regarding content on the platform and bear the risks arising from relying on, using, following, purchasing, or making decisions based on such content. To the maximum extent permitted by applicable law, payments, transactions, interactions, and resulting losses or damages based on such content shall be borne by you.
3.2 Content publishing. Subject to these Terms, you may publish views, text, images, audio and video, comments, links, and other content that you created or are otherwise authorized to publish. Any content you publish on the platform does not represent the views, position, or policies of Chaino, and you bear the related responsibility. You may not use the platform to create, reproduce, publish, disseminate, or store any unlawful or non-compliant content, content that endangers national security, infringes the rights of others, may endanger user property or information security, involves marketing fraud, is vulgar or inappropriate, constitutes harmful information, is false, or otherwise should not be published.
3.3 Publication of AI-generated content. For artificially generated or synthesized content published or disseminated on Chaino, including without limitation text, images, audio, and video, we have the right to add AI-generated identifiers as required by law, including visible identifiers in the interface and implicit identifiers in file metadata. You may not remove, tamper with, forge, or conceal such identifiers. You must make prominent disclosures as required by law for unreal information generated through deep learning, virtual reality, generative AI, or similar technologies and may not falsely represent synthesized content as real or natural content. If you fail to fulfill the marking obligation required by law, we may add labels, restrict dissemination, block accounts, or take other measures against the content or account, and you shall bear responsibility for resulting adverse consequences or harm to others' lawful rights and interests.
3.4 Transactions in goods and services. You may use Chaino to trade in goods and services. If you are a minor or a person with limited civil capacity, you must conduct transactions with guardian consent. Please carefully verify the name, price, quantity, model, specification, size, service time, service content, and restrictions of the goods or services, and verify the delivery address, contact number, consignee, and other information when placing an order. If the consignee you fill in is not yourself, you still bear the related legal consequences. Your transaction behavior shall be based on genuine consumer demand and may not include malicious purchasing, malicious refunds, malicious rights protection, resale arbitrage, or other behavior that disrupts platform transaction order. To maintain transaction order, transaction security, and the platform's lawful rights and interests, if abnormal transactions, arbitrage through rule loopholes, subsidy abuse, false orders, or other abnormal circumstances are identified, we may proactively close the relevant orders, freeze rights and interests, cancel subsidies, or take other necessary measures. After these Terms terminate, for transaction orders generated during the term of these Terms but not yet completed, we may independently decide, or decide according to the wishes of the counterparty, whether to close them. If not closed, you must continue to perform the obligations under those orders and bear the corresponding responsibility.
3.5 Content sharing and reposting. You may share or repost platform content, but without Chaino's written permission, you may not copy, read, scrape, collect statistics on, sell, or commercially display platform content or related data, nor may you disclose, provide, or permit any third party to use them in any manner.
3.6 Participation in activities. You may participate in online and offline interactive activities organized by Chaino from time to time, but you may not use any improper or cheating methods to participate. Otherwise, we may restrict or cancel your eligibility, cancel or recover rewards that you have obtained or received, and reserve the right to pursue legal liability against you.
3.7 Live streaming. If you are under 18 years old or do not satisfy other conditions for the live-stream function, you may not use that function. Where you meet the activation conditions, you may conduct live-streaming activities through the platform and must comply with the live-stream service agreement, live-stream rules, community rules, and related requirements separately issued by Chaino.
3.8 Advertising and promotion. You understand and agree that Chaino has the right, by itself or by authorizing a third party, to push, display, or place commercial advertisements, commercial cooperation information, and other promotional information to you through platform pages, information feeds, search results, the message center, activity pages, or other positions while providing services. Please carefully identify and assess the authenticity, legality, and reliability of such information. Except as expressly provided by law, any transactions, interactions, or losses arising from your reliance on such information shall be borne by you, and we will provide necessary assistance for consumer rights protection in accordance with law.
3.9 Service fees. Except for paid services expressly indicated by the platform, Chaino's basic services are generally free of charge. If we introduce new paid items, membership services, function subscriptions, or changes to charging standards in the future, we will notify you in advance in a reasonable manner and within a reasonable period so that you have a full opportunity to choose. If a paid service is reduced in price or becomes free, we reserve the right not to provide refunds or price adjustments to users who paid previously.
IV. Rights and Licenses
4.1 Platform intellectual property. The content provided by and contained in the platform, including but not limited to videos, audio, music, graphics, text descriptions, software, source code, interface designs, page layouts, icons, trademarks, signs, domain names, website names, account names, and other brand elements, other than content in which users lawfully hold rights, is owned by Chaino or lawfully licensed to Chaino and is protected by copyright law, trademark law, patent law, anti-unfair competition law, and other applicable laws. Without Chaino's written permission, you may not use, copy, recreate, reverse engineer, apply for registration of, commercially exploit, or create derivative works from such content for any purpose, nor may you use marks that are identical, similar, or likely to cause confusion with Chaino's brands, trademarks, service marks, trade names, domain names, social accounts, or other brand identifiers. We reserve all rights not expressly granted to you under these Terms.
4.2 Rules for platform use. Without explicit permission, you may not reverse engineer, decompile, or disassemble the platform or platform services; hotlink, redundantly extract, illegally scrape, simulate downloads, deep-link, or engage in fake registration; log in to or use the platform through any unauthorized or unlicensed third-party software, plugins, add-ons, or systems; interfere with, destroy, or modify the normal operation of the platform; engage in conduct that endangers network security, steals data, spreads malicious programs, exploits system vulnerabilities, or unlawfully obtains platform services, virtual items, activity rewards, or other benefits; or otherwise use the platform services in any unlawful, improper, or platform-rule-inconsistent manner.
4.3 License to user content. Content that you publish or upload to the platform shall have a lawful source and either belong to you or be duly authorized to you. Unless there is evidence to the contrary, to enable better display, dissemination, promotion, storage, synchronization, backup, rights protection, and operation of user content, you grant Chaino a free, irrevocable, non-exclusive, worldwide license to use such content, including without limitation the rights to store, use, disseminate, reproduce, modify, adapt, compile, publish, display, translate, perform, create derivative works, incorporate into other works, sublicense to third parties, and, in its own name or by entrusting a third party, collect evidence, file complaints, or bring litigation against infringement of the intellectual property rights in your uploaded content. For the avoidance of doubt, such license also includes the right to use, reproduce, and display any personal image, portrait, name, trademark, brand, sign, or other marketing material contained in the user content.
4.4 Infringement complaints. We respect and protect the lawful rights and interests of you and others, including intellectual property rights, reputation rights, naming rights, and privacy rights. You warrant that text, images, videos, audio, links, and other content you upload to the platform do not infringe any third party's lawful rights and interests. If you believe content on the platform infringes your lawful rights and interests, you may submit a rights notice according to the complaint guidance published by the platform. After receiving a valid notice, we will review it and take necessary measures according to law. For content that cannot initially be determined as infringing, we will also provide feedback on the handling result. Unless otherwise provided by law, data stored on Chaino servers may serve as important evidence of your use of the platform and platform services.
V. Legal Liability
5.1 Handling of breaches. If you violate these Terms, community rules, or other platform rules, Chaino may independently determine and immediately take measures including but not limited to muting, blocking information, deleting content, restricting functions, blocking accounts, closing accounts, and freezing, clearing, or recovering abnormal or invalid assets, proceeds, rewards, and similar items. Any losses and consequences related to such measures, including the clearing of account content, virtual property, membership rights, activity rewards, order qualifications, and usage permissions, shall be borne by you.
5.2 Compensation liability. The forms of legal liability you may bear include, without limitation, compensation for losses, apologies, elimination of adverse effects, return of property, and restoration to the original state. If your conduct causes losses to Chaino or a third party, you shall bear full compensation liability, including direct losses, goodwill loss, settlement amounts, administrative fines, rights-protection costs, attorneys' fees, litigation fees, and other reasonable expenses.
5.3 Anti-commercial bribery. Any act of providing Chaino employees, consultants, or cooperating personnel with goods, cash, cash equivalents, services, travel, or other benefits clearly exceeding the scope of normal business dealings may be regarded as commercial bribery. Where such circumstances occur, we have the right to immediately terminate all cooperation with you and pursue liability according to law.
5.4 Linked handling and public disclosure of information. If your breach results in Chaino terminating all or part of the services provided to you, we may, in order to maintain platform order, simultaneously terminate all or part of your cooperation under other agreements; conversely, if you violate other agreements entered into with Chaino, we may also terminate all or part of the services under these Terms. Such termination does not affect our continued pursuit of your breach liability. We may also make necessary public disclosures on the platform of the handling information regarding your breach and other unlawful information confirmed by effective legal instruments issued by state administrative or judicial authorities. For suspected illegal or non-compliant conduct, we are obligated to preserve records, report to competent authorities, and cooperate with investigations.
VI. Limitation of Liability, Disclaimers, and Indemnity
6.1 Regional liability rules. Because laws differ by country and region, the limitation of liability, disclaimer, and indemnity provisions in these Terms may apply differently depending on your location. If you are located in the European Economic Area, the United Kingdom, Switzerland, or similar regions, we will bear corresponding liability under applicable local law after exercising professional diligence. If we breach the agreement and the resulting loss was reasonably foreseeable at the time of contracting, we will bear liability according to law; however, nothing in these Terms is intended to exclude or limit liability for death, personal injury, fraud, fraudulent misrepresentation, or liability that cannot legally be excluded. If you object to a decision restricting, suspending, or terminating access, you may appeal through the contact methods stated in these Terms, and we will review the matter to the extent required by applicable law.
6.2 Limitation of liability within mainland China. If you are located in mainland China, except as expressly provided by applicable law, under no circumstances shall we be liable for any indirect, consequential, punitive, incidental, special, or similar damages, including without limitation loss of profit, loss of opportunity, data loss, goodwill loss, or business interruption. Except as expressly provided by law, our total liability to you, regardless of the cause or legal basis, will generally not exceed the total amount of fees actually paid by you to us in connection with your use of the Chaino platform or platform services, if any.
6.3 Limitation of liability in other countries or regions. If you are located outside the regions described above, except as expressly provided by applicable law, the Chaino platform and services are provided on an "as is" and "as available" basis, and you bear the related usage risks. To the maximum extent permitted by law, we make no express or implied warranties regarding the platform services, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the platform services will meet your requirements or that their operation will be uninterrupted, error-free, or free of defects. Except for liability that cannot legally be excluded, Chaino and its affiliates, directors, officers, employees, agents, service providers, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or similar damages arising from these Terms, the platform, or the platform services. Nevertheless, nothing in these Terms excludes or limits liability for our gross negligence, intentional misconduct, or liability that cannot be excluded by law.
6.4 Third-party services and platform responsibility. Consequences arising from content independently published, disseminated, or stored by users, and from third-party websites, apps, services, plugins, payment, logistics, SDKs, links, or resources, shall be borne by the content provider or relevant third party. When using specific platform services, you must comply not only with these Terms but also with relevant special agreements, service rules, or third-party agreements. Disputes, losses, or damage caused by third-party products or services shall, in principle, be resolved between you and the relevant third party according to the applicable arrangements. We bear platform responsibility only as required by applicable law and are not responsible for defamation, crimes, or other unlawful conduct by any third party, nor do we compensate you for losses caused thereby.
6.5 Service changes, interruption, termination, and transfer. To continuously improve services, we may update the platform, and you should update the software to the latest version; otherwise, we do not guarantee normal use of the platform. We may also suspend, interrupt, modify, or terminate part or all of the services due to business decisions, governmental actions, force majeure, compliance rectification, security governance, or other necessary reasons and will, where reasonably possible, provide advance notice within a reasonable scope. Except as otherwise required by law, we are not liable for losses caused thereby. In the event of a merger, division, acquisition, asset transfer, or similar circumstance, we may have a third party operate or perform part or all of the services and the corresponding rights and obligations under these Terms, and the transferee will be identified in the relevant notice. If you provide false information, violate laws, regulations, or these Terms, pose a security risk, or if required by a competent authority, we may interrupt or terminate services to you without further notice.
6.6 User indemnity obligation. For any third-party claims, demands, investigations, lawsuits, proceedings, or disputes caused by or arising from your use of the Chaino platform and services or your violation of these Terms, you agree to defend Chaino and its affiliates and indemnify them for resulting damages, liabilities, assessments, losses, costs, and other expenses, including reasonable attorneys' fees and legal costs. We will make reasonable efforts to notify you of the relevant dispute promptly and provide reasonable assistance, but defects in notice do not automatically excuse your indemnity obligations under these Terms unless you suffer material harm because you did not receive the notice in time.
VII. Amendment and Termination of the Agreement
7.1 Amendment of the agreement. We have the right to revise these Terms based on changes in laws and regulations, regulatory requirements, business adjustments, product upgrades, operational needs, or risk-control needs, and to notify you in advance within a reasonable period through announcements, pop-ups, system messages, in-site messages, SMS, email, or other reasonable means. You may review the latest version of the Terms on the relevant platform pages.
7.2 Effectiveness of amendments. After amendments to these Terms take effect, if you continue to use the Chaino platform or platform services, you are deemed to have accepted the amended Terms. If you do not agree to the amended Terms, you shall immediately stop using the relevant services.
7.3 Termination of the agreement. If you voluntarily apply to close your account, or if Chaino decides to close your account pursuant to these Terms, platform rules, or laws and regulations, the rights and obligations of both parties under these Terms will terminate, but you remain responsible for your conduct before account closure and during your prior use of the platform services.
VIII. Governing Law and Jurisdiction
8.1 Non-U.S. users. If you are located outside the United States, the place of execution of these Terms is Huangpu District, Shanghai, People's Republic of China. The formation, effectiveness, performance, interpretation, amendment, termination, and dispute resolution of these Terms shall be governed by the laws of the People's Republic of China. If a dispute arises between you and Chaino, the parties shall first attempt to resolve it through consultation. If consultation fails, either party may bring a lawsuit before the court with jurisdiction in the place where these Terms are concluded.
8.2 U.S. users. If you are located in the United States, the formation, enforceability, amendment, termination, and related disputes under these Terms are, within the applicable scope, governed by the law of the state in which you reside and the arbitration provisions of these Terms. Arbitration, class action waiver, batch arbitration, and jury trial waiver provisions for users in the United States are governed by Section IX below.
IX. Arbitration Terms for Users in the United States
9.1 Scope. This Section applies only to individual users located in the United States. If you are located in the United States, please note that these Terms contain binding arbitration provisions, waivers of class actions and jury trials, and batch arbitration rules for 25 or more similar arbitration demands. These provisions affect how disputes between you and Chaino are resolved.
9.2 Election of arbitration and exceptions. Where applicable, you and Chaino agree that final and binding arbitration shall be the principal method of dispute resolution, except for small claims permitted by law, claims seeking only injunctive relief, claims for public injunctive relief, or other exceptions expressly permitted by law. The arbitration clause covers a broad range of disputes relating to your access, use, purchases, advertising display, promotional information, interactions and communications between the parties, and these Terms, and shall be interpreted as broadly as enforceable.
9.3 Opt-out of arbitration. If you are located in the United States, you may opt out of the arbitration clause within 45 days after accepting these Terms electronically by sending written notice in the manner we specify. The opt-out notice shall clearly state that you reject arbitration and shall include necessary information such as your name, address, email, telephone number, and signature. The effect of opting out only of arbitration but not of the class action waiver, or only of the class action waiver but not of arbitration, shall be determined according to applicable law and these Terms.
9.4 Mandatory informal dispute resolution. Before initiating arbitration or filing in small claims court, both parties agree first to attempt good-faith informal dispute resolution through written notice, telephone, video conference, or similar means and to conduct at least one individualized communication within the agreed period. The dispute notice shall include necessary information such as name, address, email, username, relevant transaction information, a brief description of the dispute, and the proposed resolution. If the notice is incomplete, it may be invalid and need to be resubmitted. Informal dispute resolution should generally be completed within sixty days after the notice is sent to the extent reasonably possible. The validity, enforceability, and sufficiency of this precondition before arbitration may, within the applicable scope, be determined by a court of competent jurisdiction.
9.5 Arbitration procedures. Arbitration may be administered by the arbitral institution specified in these Terms or otherwise permitted by applicable rules and will generally be conducted by a sole arbitrator, unless a different structure is necessary to ensure basic procedural fairness. Hearings will generally be conducted online. The arbitration shall proceed in accordance with applicable arbitration rules. If those rules conflict with the arbitration provisions of these Terms, these Terms shall prevail to the extent permitted by law. The arbitrator has the authority to determine evidence exchange, confidentiality measures, and case management matters. Exchange of documents in arbitration will generally be limited to documents directly relevant to the dispute, reasonable in scope, and not subject to privilege.
9.6 Arbitration fees, awards, and appeals. Arbitration fees, filing fees, hearing fees, and allocation of costs shall be governed by the applicable arbitration rules and these Terms. Where the applicable conditions are met, we may reimburse filing fees or bear necessary arbitration fees for lower-value disputes to avoid arbitration costs being materially higher than litigation costs. Arbitral awards are generally final and binding and may be enforced in a court of competent jurisdiction. If the applicable rules permit, either party may appeal an award within the specified period, and the appeal may be reheard by a panel of multiple arbitrators.
9.7 Batch arbitration. If 25 or more claimants assert similar arbitration demands and are represented by the same or coordinated counsel, those demands may be administered in batches. Each batch may be handled by a sole arbitrator, and rulings in different batches do not ordinarily constitute precedent for other batches. Both parties shall cooperate in good faith with the administering institution to reduce batch arbitration costs. Any dispute regarding the applicability, validity, or enforceability of the batch arbitration provision may be decided by a court.
9.8 No class actions or representative arbitration. Except where expressly permitted by applicable law, any arbitration or lawsuit may not proceed on a class, collective, representative, or group basis, including by an individual acting as a private attorney general on behalf of others. Unless all parties agree in writing, no party in arbitration may consolidate claims on behalf of two or more unrelated individuals or entities. Any dispute regarding the validity of the class action or representative arbitration prohibition may be decided by a court.
9.9 Survival, severability, and waiver of litigation rights. This arbitration section survives termination of the agreement. Except for portions for which law requires otherwise, such as the batch arbitration provision and the no-class-action provision, if any part of the arbitration provision is held invalid or unenforceable, the remaining parts shall continue in effect. To the extent permitted by applicable law, you and Chaino agree to waive the right to a jury trial and understand that by accepting these Terms, both parties may be giving up the right to have certain disputes heard in court by a judge or jury.
X. Miscellaneous and Contact Us
10.1 Severability and no waiver. Section headings in these Terms are provided for reading convenience only and do not affect interpretation. If any provision of these Terms is held invalid or unenforceable for any reason, the validity of the remaining provisions is not affected. The failure or delay of either party to exercise any right under these Terms does not constitute a waiver of that right. Any waiver must be made in writing and signed by the waiving party.
